By accessing, registering for, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Platform.

1. Description of the Platform

Clothsample is an online business-to-business (B2B) marketplace that connects independent factory clothing designers and suppliers ("Vendors") with global clothing brands, boutiques, and retailers ("Buyers"). We provide the digital venue for Users to discover samples, communicate, and facilitate original equipment manufacturer (OEM) and original design manufacturer (ODM) customization orders.

BoldSil LLC is not a party to the actual transactions between Buyers and Vendors. While we provide the platform and may facilitate dispute resolution or payment processing, we do not manufacture, store, or inspect the physical goods sold.

2. User Accounts

• Eligibility: You must be at least 18 years old and capable of forming a binding contract under applicable law to use this Platform. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Accuracy of Information: You agree to provide current, complete, and accurate information during registration and keep your profile updated.

3. Vendor (Supplier) Responsibilities

If you register as a Vendor, you agree to the following:

• Product Accuracy: All sample listings, descriptions, images, fabric details, and customization capabilities must be accurate and truthful.
• Fulfillment: You are responsible for processing, manufacturing, and shipping orders according to the agreed-upon timelines and specifications negotiated with the Buyer.
• Intellectual Property: You warrant that you hold all necessary rights, licenses, and permissions to sell the designs and products you list. You must not upload infringing, counterfeit, or unauthorized replica items.

4. Buyer Responsibilities

If you register as a Buyer, you agree to the following:

• Purchasing Intent: You agree that you are purchasing samples or placing custom orders for business or resale purposes.
• Payments: You agree to pay all charges incurred by your account, including the cost of goods, customization fees, shipping, and applicable taxes, in accordance with the Platform's payment terms.
• Customization Requests: You are responsible for providing clear, accurate, and final specifications for any OEM/ODM customization requests.

5. Fees and Payments

• Platform Fees: Registering on Clothsample may be free, but certain transactions may be subject to platform commissions, payment processing fees, or subscription charges, as detailed on our pricing pages or Vendor agreements.
• Transactions: All payments are processed through secure third-party payment gateways. You agree to comply with the terms and conditions of those third-party processors.
• Taxes: Users are solely responsible for determining, collecting, reporting, and remitting applicable taxes (such as sales tax, VAT, or customs duties) arising from their transactions.

6. Intellectual Property

• User Content: By uploading images, designs, logos, or text ("User Content") to the Platform, you grant BoldSil LLC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content strictly for the purpose of operating and promoting the Platform. You retain all ownership rights to your original designs.
• Platform IP: All site design, text, graphics, platform architecture, and software are the property of BoldSil LLC or its licensors and are protected by copyright and trademark laws. You may not extract, scrape, or reproduce platform data without our express written consent.

7. Prohibited Activities

You agree not to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose.
• Bypass or attempt to bypass our payment systems to conduct transactions initiated on Clothsample outside of the Platform.
• Harass, threaten, or upload offensive or malicious content.
• Interfere with the proper working of the Platform, including introducing viruses, malicious code, or engaging in denial-of-service attacks.

8. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. BoldSil LLC expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the quality, safety, or legality of items advertised, the truth or accuracy of user content, or the ability of Vendors to sell items or Buyers to pay for them.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BoldSil LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform, any transactions facilitated through the Platform, or any disputes between Users.

10. Governing Law and Dispute Resolution

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Albuquerque, New Mexico.

11. Modifications to the Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and changing the "Effective Date." Your continued use of the Platform after the revised Terms become effective constitutes your acceptance of the changes.
